This is what you will do:The Assistant Director acts as a legal and strategic advisor to the Alexion Pharmaceuticals International Operations ("APIO") and the AstraZeneca Ireland Limited ("AZIL") Board of directors and key partner to the Company Secretary. This role will ensure that AstraZeneca Irish entities are compliant with their legal obligations and manage the legal business of the Irish entities. You will directly support the Board of Directors (BoDs) of APIO and AZIL and other Alexion entities as needed. You will maintain a corporate governance framework for all Irish entities, support board meetings, provide strategic and tactical legal support to the business, manage legal and business risks and business processes, and develop robust processes and decision-making frameworks to ensure both value and compliance with statutory obligations. You will work directly with the Alexion and AstraZeneca legal and tax teams to ensure that that the IP portfolio held in its Irish entities is properly managed and maximized, including driving substance and value creation in Ireland. Finally, as needed, you will support strategic legal work in Ireland, with a dotted line relationship to the SVP, Deputy General Counsel, Alexion. GovernanceMange and continually improve on robust corporate governance processes for the relevant BODs.Drive a substantive agenda and organize and facilitate meetings of the Boards of Directors, in partnership with the Company Secretary.Liase with the Board chair and members and senior business leaders to ensure the matters coming before the Boards are of appropriate substance and quality and provide visibility of upcoming board decisions.Liaise with the Early and Late-Stage Portfolio Committees (ESPC and LSPC) governance teams, ensuring proper governance and business cases to support board decisions for portfolio assets.Review contracts and other documents to ensure compliance with internal polices and external requirements to support Director signing and approvals.Manage processes and business matters on behalf of APIO and AZIL (e.g. portfolio performance oversight, business case preparation, business case performance tracking, contract tracking and signing, etc.).Document board decision and approvals taken by Directors for both APIO and AZIL, in collaboration with the Corporate Secretary.Co-ordinate with the Finance, Tax, Legal, and IP teams to ensure that APIO & AZIL are provided with the necessary information to ensure maintenance and protection of the Intellectual Property ("IP") portfolios.Co-ordinate with the Company Secretary in respect of legal entity management, external reporting, filings and disclosure requirements and other related matters and support any internal or external audit processes.LegalManage external legal counsel, financial, and other advisors in connection with the above noted accountabilities.Proactively monitor and advocate for improvements on legislative and regulatory changes in areas relevant to the organization, identifying trends of key external authorities, and providing value add advice to senior stakeholders on potential impacts to inform decisions and make more accurate risk assessments.Advise the business in respect of business conducted by the entitles or projects approved for Ireland hub (e.g. API facility, beneficial tax incentives, liaising with external Government bodies and national organisations, ensuring maximisation of supports available to the enterprise).Supporting the team overseeing the API build in Ireland – to include but not limited to legal advice related to planning, drafting of corporate lease agreements, liaising with local authority to ensure statutory compliance with leasehold requirements, HR legal matters, etc.Partner with key internal stakeholders and functions to address legal queries and provide solutions to meet legal and regulatory requirements.Manage and raise legal risks associated with the entity such as preparation for dawn raids, audit readiness, compliance with Irish and global requirements, etc.Business Operations & Corporate Strategy Work with business leaders across R&D, Commercial, Tax, Legal, Portfolio Management, Business Development and other key functions to ensure the quality and substance of business cases presented to the Boards.Provide strategic support to the Alexion business on internal and external engagement in Ireland.Lead on the ground and be entrepreneurial, partnering with key senior stakeholders to ensure Irish operations and value is fully utilized for both the AstraZeneca enterprise and for Alexion.Experience & Capabilities:Qualified as a Solicitor in Ireland.Exceptional interpersonal, written, and verbal communications skills.Ability to engage with executive stakeholders at the highest levels of a multi-national organization.Business experience within the pharmaceutical industry preferred.Experience with Intellectual Property matters preferred.Ability to negotiate and evaluate a wide range of agreements and documentation.Ability to analyze legal matters, assess risks and benefits, and provide clear recommendations to senior management / executive level stakeholders.Strong business judgement and strategic thinking capabilities, effectively balancing business trade-offs and identify the implications of decisions AstraZeneca embraces diversity and equality of opportunity.
