About the Opportunity: Our client, a leading provider of governance, risk, and compliance services to the asset management industry, is seeking an experienced Company Secretary to work on the in-house co-sec team.
This role is perfect for a professional with experience in the funds industry and, ideally, management company experience.
This could be the ideal next step in your career (Hybrid or Remote).
Key Responsibilities: Governance and Compliance: Ensure compliance with statutory and regulatory requirements.Maintain and update statutory registers and records.Monitor and implement changes in relevant legislation.Board Support: Prepare and circulate agendas, board packs, and minutes for board and committee meetings.Advise the Board on governance matters.Coordinate AGMs and EGMs.Oversee regulatory filings for funds.Ensure accurate and timely reporting to regulatory bodies.Collaborate with fund managers, auditors, and legal advisors.Corporate Governance: Develop and implement corporate governance policies.Provide training and guidance on governance matters.Work on governance projects ad-hoc.Management Company Support: Assist in meeting regulatory and compliance obligations.Support the establishment and maintenance of management company structures.Qualifications and Experience: Education: Degree in Law, Business, or a related field.
Chartered Secretary qualification (ICSA) is highly desirable.Must have strong minute taking for regulated entities.Experience: 2+ years co-sec experience in the financial services sector, with a focus on funds and management companies.Skills: Strong knowledge of corporate governance and compliance.Excellent organizational and communication skills.Proficiency in company secretarial software and MS Office Suite.Why This Role?
